My understanding is that using a separate company for the construction
separated the parent company from legal and financial liability if the
project turned pear shaped. I think it was also a device to avoid
disclosing the interest that the CB&Q (or the other major players who used
this method) had in the early planning stages, in order to get a jump on the
opposition.
